Agreement to Terms & Enterprise Scope
These Terms and Conditions (“Terms”, “Agreement”) constitute a legally binding agreement entered into between Wrysto (“Wrysto”, “Company”, “we”, “our”, or “us”) and the business entity, plant operator, industrial enterprise, or authorized representative subscribing to or utilizing our software services (“Customer”, “Client”, or “You”).
By executing an Order Form, registering an administrative account, deploying the Wrysto technician mobile app, or accessing any Wrysto cloud service, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you are entering into this Agreement on behalf of a corporation, factory, or public utility, you represent that you possess the full corporate authority to bind that entity.

The Customer retains sole and exclusive ownership of all Customer Plant Data. This includes all machine identification numbers, CAD drawings, piping and instrumentation diagrams (P&ID), maintenance logs, failure mode analyses, sensor telemetry, inventory pricing, and employee logs uploaded into Wrysto.
Wrysto claims zero intellectual property rights over Customer Plant Data. The Customer grants Wrysto a strictly limited, non-exclusive, non-transferable license to host, transmit, and backup Customer Data solely as necessary to provide, maintain, and support the CMMS service.
Wrysto Intellectual Property: Wrysto and its licensors retain all right, title, and interest in and to the software, mobile codebases, UI/UX designs, algorithms, documentation, API architecture, and trademarks. No rights are granted to Customer other than the limited SaaS subscription license explicitly stated herein.
Subscription Tiers, Billing & Invoicing
Subscriptions are billed on a recurring monthly or annual basis as specified in the applicable Order Form or online checkout:
- Currency & Invoicing: Invoicing is available in US Dollars (USD) for international clients or Bangladeshi Taka (BDT) with applicable VAT/tax compliance for South Asian industrial facilities.
- Payment Terms: Invoices issued for annual or enterprise contracts are payable Net 30 days from invoice date via corporate bank transfer, credit card, or designated corporate payment gateways.
- Seat & Facility Scaling: Additional plant facilities, technician seats, or enterprise API connectors added mid-billing cycle will be prorated through the end of the active subscription period.

To the maximum extent permitted by applicable law, neither party shall be liable under this Agreement for any indirect, punitive, special, incidental, or consequential damages, including loss of plant production, lost megawatts, spoiled textile batches, shutdown penalties, or machine depreciation.
Except for willful misconduct or breach of confidentiality obligations, each party's total cumulative liability arising out of or related to this Agreement shall be limited to the total fees actually paid by Customer to Wrysto under the applicable Order Form in the twelve (12) months immediately preceding the event giving rise to liability.
Term, Suspension & Account Termination
This Agreement commences on the effective date and continues until all subscriptions expire or are terminated in accordance with this Section.

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified in the applicable Order Form (or, absent an explicit specification, the laws of the State of Delaware, USA, or Bangladesh for local South Asian entity accounts), without regard to conflict of laws principles.
The parties agree to attempt in good faith to resolve any dispute through senior executive negotiations for at least thirty (30) days prior to initiating formal binding arbitration under the rules of the International Chamber of Commerce (ICC) or competent industrial arbitration courts.
Miscellaneous & Legal Notices
If any provision of this Agreement is held to be invalid or unenforceable, that provision will be modified to reflect the parties' original intent and all remaining provisions will remain in full force and effect.
